NOTICE IS HEREBY GIVEN that the 10th Annual General Meeting of the Shareholders of SEM INCOME FUND PLC (Company Number: CS424002014) will be held VIRTUALLY via an audio-visual conferencing facility on 26^th August at 12:30 GMT to transact the following business:

AGENDA

Ordinary Business

To receive the Report of the Directors for the financial year ended 31st December 2025.
To receive the Report of the Fund Manager for the financial year ended 31st December 2025.
To receive and adopt the Audited Financial Statements for the year ended 31st December 2025.
To appoint/re-appoint/ratify the appointment of the Auditors for the 2026 fiscal year; and to authorize the Board to fix the Auditors' remuneration for the ensuing year.
To consider the appointment of new Directors, if any.
To approve Board fees and Directors' remuneration for the year.

A member of the Company entitled to attend and vote is entitled to appoint a Proxy to attend and vote instead of him or her. A Proxy need not be a member. A form of Proxy is attached hereto. For it to be valid for the purposes of the meeting, it must be completed and deposited at the Registered Office of SEM Income Fund Plc, The Octagon, Suite A205, Accra, P.O. Box CT 2069, Cantonments, Accra, Ghana, or sent via email to masare@semcapitaladvisors.com not less than 48 hours before the appointed time of the meeting.
The appointment of a proxy will not prevent a member from attending and voting at the Meeting via online participation. Where a member attends the Meeting by online participation, the proxy appointment shall be deemed revoked.
