Notice: 10th Annual General Meeting - Heritage Fund

NOTICE IS HEREBY GIVEN that the Tenth Annual General Meeting of Firstbanc Heritage Fund Limited (the “Company”) will be held VIRTUALLY via an audio-visual conferencing facility on Friday, 31^st July 2026, at 10:00 GMT to transact the following business:

Ordinary Business

1. To consider and adopt the audited financial statements, together with the reports of the Directors and the Fund Manager, for the year ended 31 December 2025.
2. To reappoint the Auditors for the 2026 financial year.
3. To authorize the Directors to fix the Auditor's remuneration for the 2026 financial year.
4. To approve the Directors’ remuneration for the 2026 financial year.

NOTES

1. A member of the Company entitled to attend and vote is entitled to appoint a Proxy to attend and vote instead of him or her. A Proxy need not be a member. A form of Proxy is hereto attached. For it to be valid for the purposes of the meeting, it must be completed and deposited at the Registered Office of Firstbanc Heritage Fund, The Octagon, Suite A205, Accra, P. O. Box CT 2069, Cantonments, Accra, Ghana, or sent via mail to capital@semcapitaladvisors.com not less than 48 hours before the appointed time of the meeting.

2. The appointment of a proxy will not prevent a member from attending and voting at the Meeting via online participation. Where a member attends the Meeting by online participation, the proxy appointment shall be deemed revoked.
